NOiC, LLC(“Company,” “NOiC,” “we,” “us”) operates a business advisory, diagnostic, and operator-grade content platform serving owner-operated businesses. NOiC accomplishes its mission by:
- Producing business diagnostics, visibility assessments, and operator scoring tools.
- Providing written intelligence, frameworks, and operational guidance through the NOiC website and Command Center.
- Offering paid digital products such as the Visibility Diagnostic, the Force Multiplier Field Guide, and related operator resources.
- Delivering consultation engagements and fractional advisory services to operators who qualify.
- Providing technical infrastructure including a multi-tenant operator dashboard at command.no1iscoming.com.
These Terms of Use and Service (“Terms”) apply to all of your activities with NOiC, including visiting our websites, purchasing products, submitting intake forms, completing assessments, and engaging with our services (collectively, the “Services”). All descriptions, availability, and pricing are subject to change without notice. If you live in the United States or Canada, by using NOiC's websites and Services, you are agreeing to waive any and all jury trials and resolve any dispute with NOiC through binding arbitration (see the Dispute Resolution section below).
1. Your Account
You may need to set up an account to access certain Services. You are responsible for your NOiC account, and you must ensure that all information you provide is accurate, including your email address. You should hold your username and password in strict confidence. If someone other than you obtains and uses your login credentials, NOiC reserves the right to disable your account, without providing a refund.
2. Nature of the Services
NOiC provides business advisory, educational, and diagnostic content. NOiC is not a law firm, accounting firm, financial advisor, or healthcare provider. The Services do not constitute legal, financial, tax, medical, or any other licensed professional advice. Diagnostic outputs, scoring, and recommendations are operational guidance based on the inputs you provide. You are responsible for evaluating the suitability of any recommendation for your business and for engaging qualified licensed professionals for advice that requires a license.
3. Accuracy of Information
Information on the NOiC website is provided for general informational and educational purposes only. Reports, frameworks, assessments, and articles are based on the operator-grade methodology of NOiC and should not be relied upon as professional advice for any individual situation without independent verification.
4. Payment for Services
You agree to pay the fees for the Services you purchase and you authorize NOiC to charge your debit or credit card or process other forms of payment for those fees. Payment processing is handled by Stripe. NOiC's standard policy is that all sales are final. See our Refund Policy for details.
5. NOiC Rights
All right, title, and interest in and to NOiC's online presence and its Services, including the website, the Command Center application, mobile applications, frameworks, methodologies, diagnostic algorithms, content libraries, and databases, are and will remain the exclusive property of NOiC, LLC. You may not use the NOiC name, the “No One Is Coming” brand, the Force Multiplier Framework, any NOiC trademark, logo, domain name, content, or other distinctive brand feature without prior written authorization. Any feedback, comments, or suggestions you provide regarding NOiC or the Services is entirely voluntary and NOiC is free to use such feedback without any obligation to you. You shall not copy, modify, create derivative works of, reverse engineer, or reverse assemble any portion of NOiC's Services or materials. You shall not use the Services to send altered, deceptive, or false source-identifying information.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Submit false, misleading, or fraudulent information in any intake form, assessment, or payment.
- Attempt to gain unauthorized access to any portion of the Services, other accounts, or any system or network connected to the Services.
- Use any automated means (bots, scrapers, crawlers other than well-behaved search and AI crawlers) to access or extract data from the Services.
- Interfere with or disrupt the operation of the Services or impose an unreasonable load on infrastructure.
- Resell or commercially redistribute NOiC reports, frameworks, or proprietary content.
7. Children and Individuals Under the Age of Majority
NOiC does not knowingly sell products or provide Services to individuals under the age of majority in their jurisdiction. If you are under the age of majority, you must not use the Services.
8. Warranty Disclaimer
The Services and products are provided on an “as is” and “where is” basis. NOiC makes no representations or warranties about the suitability, reliability, availability, timeliness, or security of the Services. NOiC expressly disclaims any warranties or conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. There is no warranty regarding specific business outcomes, revenue results, ranking results, or any other measurable outcome from use of the Services. Your use of the Services is entirely at your own risk.
9. Limitation of Liability
You agree that NOiC shall not be responsible for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities), whether arising in contract, warranty, tort, product liability, or otherwise, as a result of NOiC's Services or your purchase or use of NOiC's products. NOiC's liability to you or any third party under any circumstance is limited to the total amount paid by you over the previous 12-month period before the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless NOiC and its members, managers, suppliers, partners, and agents from any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from any actions taken by you that are intentional or negligent. Your indemnification obligation will survive the termination of these Terms and your use of the Services. No joint venture, partnership, employment, contractor, or agency relationship exists between you and NOiC.
11. Dispute Resolution and Class Action Waiver
Your relationship with NOiC and your use of NOiC's Services and materials shall be governed by the laws of the State of North Carolina, and any disputes arising under these Terms shall be adjudicated in Mecklenburg County. You agree that any controversy or claim arising out of or relating to these Terms shall be settled by arbitration administered by the American Arbitration Association in accordance with its Expedited Procedures of the Commercial Arbitration Rules. The arbitration hearing shall take place before a single arbitrator in Mecklenburg County, North Carolina, via video conference, and the following procedural requirements shall govern:
- The arbitration shall be decided based solely upon the submission of documents.
- No witness testimony shall be elicited or heard.
- There shall be no written discovery, interrogatories, requests for production, or requests for admissions.
- There shall be no depositions taken.
- All information exchanged and elicited through the arbitration shall be kept strictly confidential by the parties and shall not be shared with anyone other than the parties themselves and the arbitrator.
- The arbitration hearing shall not exceed one day.
This agreement to arbitrate shall be enforceable under and subject to the Federal Arbitration Act. No arbitration proceeding hereunder shall be filed or pursued as a class action or proceed as a class action, or on a basis involving claims brought in a purported representative capacity on behalf of the general public or other persons similarly situated. No arbitration proceeding hereunder shall be consolidated with any other arbitration proceeding.
THE PARTIES AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS AND EACH WAIVES THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
12. Updating These Terms
When NOiC deems it appropriate, it may update these Terms to clarify its practices or to reflect new or different practices. NOiC reserves the right in its sole discretion to modify these Terms at any time. If NOiC makes any material change, it will notify you by prominent means such as an email to your account email or a notice on the website. Modifications become effective on the day they are posted unless stated otherwise. Your continued use of the Services after changes become effective constitutes acceptance of those changes. Any revised Terms supersede all previous Terms.
13. Miscellaneous
By registering, accessing, or using NOiC's Services, you are agreeing to enter into a legally binding contract with NOiC, LLC consisting of these Terms and NOiC's Privacy Policy. If you do not agree to these Terms, do not register, access, or otherwise use any of NOiC's Services. These Terms represent the entire understanding between you and NOiC and supersede all previous agreements, whether oral or written. No change or modification shall be valid unless in writing and published by NOiC on its website. If any portion of these Terms is found to be invalid or unenforceable, it shall be severable from all other portions. NOiC's failure to enforce any provision is not a waiver of its right to enforce it later.
